You need to structure your business operations legally and operationally, create subsidiaries, prepare, negotiate and draft business agreements and address legal challenges. Your challenges involve how you make money abroad, e.g., through agents, licensing, distribution, subsidiaries and affiliates, and how you get your money back to the United States in the most tax efficient manner possible.

I have set up many different international operations including indirect “agency” type models, direct revenue producing operations, supply chain operations and tax necessitated “service operations” that required transfer price study support.

All seems great at the beginning, but like all partnerships, sometimes things get shakier down the road – and a legal “pre-nuptial” business agreement preserves you, your profits and your reputation in the market.

If you do establish a permanent “boots-on-the-ground” operation, my unique on-the-ground experience, in many of the largest and most commercially important jurisdictions in the world, including in Asia (China, Hong Kong, Japan, South Korea, Singapore, Malaysia and India), Australia, the E.U. (the Netherlands, France, the United Kingdom, Spain and Italy), and the Middle East (Abu Dhabi, Dubai and Saudi Arabia) will make the experience as painless as possible.

I have led legal teams on project finance and large-scale projects. Through my General Counsel Services, my support can include ensuring that your businesses manage outside lawyers, whether here or abroad, or perhaps supporting an overtaxed in-house team on one particular aspect of a project. I represent contractors and/or suppliers who want to support one particular part of a project.

When going abroad, or coming to the United States, it is crucial for the head office to “keep an eye” on what the foreign operations are doing and ensure that best practice compliance is maintained. It's tempting while abroad, to go with the local customs and practices. It's important both legally in the United States and abroad, as well as reputationally, to make sure that your business partners and employees don’t “go cowboy.”

To support you with these types of internal challenges, I have significant experience in relevant Corporate Governance matters and managing multiple boards across different jurisdictions. I provide advice on best practices for Foreign Corrupt Practices Act (FCPA), United Kingdom Bribery Act (UKBA), Corporate Separation, Export Controls, OFAC Compliance and other key pieces of international litigation.
